These Terms of Service (Terms) govern your access to and use of the NAiO mobile application and related websites, features, content, and services (collectively, the Services) operated by NAiO LLC (NAiO, we, us). By creating an account, accessing, or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Services.

You must be at least 18 years old to use the Services. By creating an account, you represent and warrant that you are at least 18. We may suspend or terminate your account if we reasonably believe you are under 18 or have provided inaccurate information. Date of birth may be provided in your profile on a voluntary basis.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to provide accurate information and keep it up to date. You must immediately notify us of any unauthorized use of your account.

We may require email and phone verification. Additional verification may be introduced for certain services or providers.

NAiO is an all-in-one platform that helps users discover, plan, and manage a nomadic lifestyle, including AI-assisted trip planning, destination information, community features, messaging, events, and access to third-party services such as travel bookings, eSIM/mobile data, insurance, visa support, tax and legal services, coworking, luggage storage, and other offerings.

Some features may be in beta or prototype stage. The Services are provided on an as-is and as-available basis, and features may change at any time.

The Services may enable you to access, book, or purchase services offered by independent third parties (Third-Party Providers). Depending on the service, NAiO may act as (a) a facilitator or referral platform, (b) an agent for a Third-Party Provider, or (c) the seller or merchant of record. The applicable role will be disclosed at or before checkout and/or in the relevant flow.

When you complete a purchase through a Third-Party Provider checkout (including within an in-app webview), your transaction is governed by that Third-Party Provider's terms and policies, which will be presented or linked at the time of booking or purchase. The party identified as the seller or merchant on the checkout page, confirmation, or receipt is responsible for payment processing, fulfillment, refunds, and cancellations for that transaction.

We may display a notice indicating you are leaving NAiO or proceeding to a third-party checkout. You should review the Third-Party Provider's terms before purchasing.

NAiO does not guarantee the availability, quality, safety, legality, or suitability of Third-Party Provider services.

NAiO may host a marketplace where external providers (Providers) offer services to users. Providers are solely responsible for their services, including accuracy of listings, delivery, compliance with applicable laws, and customer support for their services. NAiO is not the provider of these services and is not responsible for Provider performance, except to the extent required by applicable law.

Providers may offer free introductory calls. If a user books a free call through NAiO and subsequently purchases a Provider's paid service as a result of that lead, that purchase may be attributed to NAiO for commission purposes under the applicable Provider agreement.

The NAiO app may be available for free download. We may offer premium features via a paid subscription (Premium). Premium is billed outside of the app stores through web-based checkout.

Trial. We may offer a 7-day trial. A valid payment method is required to start the trial. Unless you cancel before the trial ends, your subscription will automatically renew into a paid plan.

Plans. Premium may be offered monthly and annually. Annual plans may be discounted (for example, an annual plan may be priced equivalent to approximately 10 months).

Renewal and Cancellation. Subscriptions renew automatically unless canceled. If you cancel, you will retain access until the end of the current billing period.

Refunds. Refunds, if any, are provided at our discretion on a case-by-case basis, except where required by applicable law.

Additional Fees. Certain services may include transparent platform fees, markups, or service charges. Any such fees will be disclosed before you complete a purchase.

You agree not to use the Services to violate any law or infringe the rights of others. You must not harass, threaten, impersonate, or defraud others; distribute malware; attempt unauthorized access; or engage in abusive, hateful, or discriminatory conduct.

Dating-oriented content similar to mainstream dating platforms may be permitted. However, nudity, pornography, sexually explicit content, sexual services, exploitation, and any content involving minors are strictly prohibited. We may remove content and suspend or terminate accounts for violations.

We provide reporting and blocking tools and may moderate content. We may take enforcement action, including warnings, content removal, and account termination.

You may post or upload content (User Content), such as profile information, photos, documents, and messages. You retain ownership of your User Content. You grant NAiO a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your User Content solely to operate, provide, and improve the Services, and as otherwise permitted by your settings and these Terms.

You represent that you have all rights necessary to provide User Content and that it does not violate law or third-party rights.

The Services include AI-assisted features that may generate recommendations or information related to travel planning, bookings, visas, tax, legal, insurance, and other topics. AI output may be inaccurate, incomplete, outdated, or unsuitable for your circumstances. You are responsible for verifying information with official sources and qualified professionals.

NAiO does not provide legal, tax, immigration, medical, or financial advice. Any information provided is for general informational purposes only.

AI Training and Opt-Out. We may use certain user-provided data (such as AI prompts, AI outputs, and certain profile or booking-related inputs) to improve our AI features, but we do not use private chats for AI training. You can opt out of using your data for AI improvement in settings. If you opt out, we will not use your eligible data for AI improvement, though the AI features will still process your requests to provide the functionality.

We may use external AI model providers to process AI requests.

The Services may facilitate user-to-user connections and offline meetups. You are solely responsible for your interactions and for exercising good judgment and safety precautions. NAiO does not conduct background checks, does not guarantee user identity, and is not responsible for offline interactions. Please review our Safety Center guidance.

You may stop using the Services at any time. You may delete your account via self-serve account controls. We may suspend or terminate your access at any time if you violate these Terms, create risk or legal exposure, or if we discontinue the Services.

THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NAIO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAIO'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO NAIO FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD 100), WHICHEVER IS GREATER.

You agree to indemnify and hold harmless NAiO, its affiliates, and their officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms or law.

These Terms are governed by the laws of the State of Wyoming, USA. However, if you are a consumer residing in the European Union, United Kingdom, or another jurisdiction with mandatory consumer protection laws, you also enjoy the protection of the mandatory provisions of the law of your country of residence. For business users and providers, the state and federal courts in Wyoming shall have exclusive jurisdiction. For consumers, any dispute may be brought before the competent court of your place of residence or the competent court in Wyoming, at your discretion.

We may update these Terms from time to time. We will provide notice where required by law. Your continued use of the Services after changes become effective constitutes acceptance.
